Welcome to Inschool. These Terms of Service (“Terms”) set out the rules and conditions under which you may access and use our website (the “Site”), along with our applications, and related services (collectively, the “Service”). The Service is provided by Inschool Technologies Ltd. (“Inschool,” “we,” “us,” or “our”).

These Terms take effect from the date you register an account, purchase a subscription, or otherwise begin using the Service (the “Effective Date”).

If you are accessing the Service on behalf of an educational institution, university, school, or other organization (an “Institution”), then by doing so you confirm that: (i) you have the legal authority to act on behalf of that Institution, (ii) you have read and understood these Terms, and (iii) the Institution agrees to be bound by these Terms.

In these Terms, “you” refers either to the Institution you represent or, where applicable, to you personally as an individual user.

We may update these Terms from time to time to reflect changes in our business, services, or legal obligations. When we make changes, we will update the “Effective date” date at the top of this page and may also notify you through the Service, by email, or other reasonable means. Updated Terms will normally take effect fourteen (14) days after being published. If you have an active paid subscription, updates will apply at the next renewal date unless otherwise required by law. By continuing to use the Service after updated Terms take effect, you agree to the revised version.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS AND RESPONSIBILITIES IN USING THE SERVICE.

You may also be subject to additional terms and policies when using certain parts of the Service, including our Privacy Policy, which is incorporated into these Terms by reference.

1. Definitions

For purposes of these Terms of Service, the following terms shall have the meanings set forth below. (1) “Account” means the registered profile created by a User or Institution to access and use the Service. (2) “Administrator” means a User authorized by an Institution to manage and oversee its use of the Service, including account settings, permissions, and billing. (3) “Content” means any data, information, text, files, documents, records, graphics, images, audio, video, or other material uploaded, entered, or otherwise made available through the Service by Users or Institutions. (4) “Data” means all information processed, stored, or transmitted through the Service, including but not limited to student records, faculty information, academic results, attendance logs, financial/payment data, and other Institution-related information. (5) “Institution” means any college, university, company, organization or other educational bodies that subscribes to or uses the Service. (6) “Personal Data” means any information relating to an identified or identifiable natural person, including but not limited to student information, parent/guardian details, faculty information, and staff records, as defined under applicable data protection laws. (7) “Service” or “Services” means the Inschool website, applications, APIs, software, features, tools, and related services provided by Inschool Technologies Ltd., including any updates or enhancements thereto. (8) “Subscription” means the paid plan that grants an Institution access to certain features and functionalities of the Service for a defined period of time, subject to payment of applicable fees. (9) “User” means any individual who accesses or uses the Service, including but not limited to Administrators, faculty, staff, students, parents, and guardians. (10) “You” or “Your” means the Institution or individual accepting these Terms, as applicable.

2. Eligibility & Account Registration

2.1 Eligibility. The Service is intended for use by: (i) Institutions such as universities and colleges; (ii) Applicants seeking admission into an Institution using the Service; (iii) Job seekers applying for academic or administrative roles at an Institution (including but not limited to Vice Chancellors, Deans, Head of departments, educators, and other staff); (iv) Faculty, Department, administrators, and other authorized staff of an Institution; (v) Students, parents, and guardians authorized by an Institution to access the Service.

By registering or using the Service, you represent and warrant that you meet the applicable eligibility requirements and have not been previously blocked, suspended or removed from the Service.

2.2 Account Registration: To access certain features of the Service, you may be required to register an Account by providing accurate and complete information. You agree to: (i) provide and maintain true, current, and complete registration information; (ii) maintain the security of your login credentials and not share them with unauthorized parties; (iii) promptly notify Inschool Apps Ltd of any unauthorized use of your Account or other security breach.

2.3 Authority to Act on Behalf of an Institution: If you create or manage an Account on behalf of an Institution, you represent and warrant that you have the full legal authority to act for and bind that Institution to these Terms. The Institution shall be responsible for the acts and omissions of its Users.

2.4 Age Requirements: The Service is not directed to children under the age of 13 (or the minimum age required by applicable law in your jurisdiction). Students below this age may only use the Service with the consent and supervision of their parent, guardian, or Institution.

3. Scope of Services

3.1 Description of Services: Inschool Apps Ltd provides a cloud-based school management platform designed to support educational institutions in managing academic, administrative, and organizational activities. Depending on the Institution’s Subscription, the Service may include features such as: (i) student and staff records management; (ii) faculty and department management; (iii) attendance and timetable tracking; (iv) grading and assessments; (v) student and staff communications; (vi) reporting, analytics, and dashboards; (vii) integrations with third-party services (such as cloud hosting and communication tools).

Certain features, including but not limited to job application/hiring, finance management (e.g., fee payments) and admissions processing, may be introduced in future updates of the Service.

3.2 No Guarantee of Outcomes: While the Service facilitates the administration of academic and employment-related processes, Inschool Apps Ltd does not control or guarantee: (i) the admission of any applicant into an Institution; (ii) the hiring or employment of any job applicant; (iii) academic results, student performance, or disciplinary outcomes; (iv) the accuracy or completeness of data entered by Institutions or Users.

Decisions regarding admissions, employment, academic performance, and disciplinary actions remain solely the responsibility of the Institution.

3.3 Modifications and Updates: Inschool Apps Ltd reserves the right to modify, enhance, or discontinue any part of the Service at any time, with or without prior notice. This includes the introduction of new features or limitations on existing features.

3.4 Beta Features: From time to time, Inschool Apps Ltd may release features identified as “beta,” “preview,” or similar. Such features are provided for evaluation purposes only, may contain bugs or errors, and are offered “as-is” without warranty.

3.5 Third-Party Services: The Service may enable access to or integration with Third-Party Services, including cloud hosting, communication tools, or external applications. Inschool Apps Ltd does not control and is not responsible for the availability, accuracy, or performance of Third-Party Services. Use of such services is subject to the terms and conditions of the respective third-party providers.

4. Fees, Subscriptions, & Payment Terms

4.1 Platform Fees for Students: Students using the Services are required to pay a platform fee in addition to their academic fees. This fee is calculated as a percentage of the total academic fees payable per semester, typically ranging between 2.5% and 5%. (i) A minimum base fee applies, meaning the platform fee may not fall below a set threshold, regardless of the percentage calculation. (ii) The applicable percentage may vary depending on the country in which the institution is located and the tuition structure of the institution. (iii) We reserve the right to adjust the applicable percentage for a particular institution or region at our discretion.

4.2 Institutional Access and Setup: Institutions are granted access to the Services under a Free Plan, which includes core school management functionalities. No recurring subscription is required to access these basic features. However, institutions are required to pay a one-time setup fee upon onboarding. This fee covers system configuration, onboarding support, and verification of the institution’s account. After successful payment of the setup fee: (i) The institution will receive a verified checkmark. (ii) The institution will unlock access to additional features currently provided by us as well as future enhancements.

4.3 Optional Subscriptions (Pro-Tier Features): Institutions may optionally subscribe to Pro-Tier Features, which provide additional functionalities beyond the Free Plan. These may include, but are not limited to, advanced analytics, priority support, customization tools, or white-label branding. (i) Subscription fees for Pro-Tier Features will be communicated separately. (ii) Fees and features may vary depending on the chosen plan and may be updated by us from time to time.

4.4 Payment Processing: All payments (including student platform fees, institutional setup fees, or subscriptions) must be made through the designated payment channels provided by us. By making a payment, you agree that: (i) We may engage third-party payment processors to facilitate transactions. (ii) Payments are subject to the terms and conditions of such third-party providers. (iii) You are responsible for ensuring that payment details provided are accurate and up to date.

5. User Responsibilities

5.1 Compliance with Laws and Policies: Users agree to use the Service in compliance with all applicable laws, regulations, and the policies of their Institution.

5.2 Proper Use of the Service: Users shall not: (i) Engage in any activity that disrupts, damages, or interferes with the operation of the Service. (ii) Attempt to gain unauthorized access to any account, system, or network related to the Service. (iii) Use the Service for fraudulent, abusive, harassing, defamatory, or otherwise unlawful purposes. (iv) Upload, post, or transmit any content that is obscene, offensive, or harmful.

5.3 Accuracy of Information: Users are responsible for ensuring that all information they submit or maintain through the Service (including personal details, academic records, and application data) is accurate, current, and complete.

5.4 Respect for Intellectual Property: Users may not copy, reproduce, modify, distribute, or create derivative works from the Service or any content therein, except as expressly permitted by these Terms or applicable law.

5.5 Account Security: Users must safeguard their login credentials and shall not share accounts or passwords with others. Users are responsible for all activity that occurs under their account.

5.6 Respect for Institutional Authority: Users acknowledge that Institutions may establish their own rules for use of the Service (including attendance, grading, admissions, disciplinary processes, and recruitment). Users agree to comply with such rules as a condition of continued access.

6. Acceptable Use Policy

6.1 Lawful Use You agree to use the Service only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. The Service must not be used in any way that could harm, disrupt, or interfere with the integrity or security of the platform or the experience of other users.

6.2 Prohibited Conduct You must not engage in any activity that is abusive, fraudulent, or harmful to the Service, other users, or third parties. This includes, without limitation, attempts to gain unauthorized access to the system, introduce malicious software, or disrupt the functionality of the platform.

6.3 Academic Integrity Institutions and users may not use the Service to manipulate, falsify, or misrepresent academic records, attendance, results, or disciplinary actions. The Service is intended to support legitimate academic and administrative processes, and misuse undermines both the platform and the institution’s integrity.

6.4 Unauthorized Commercial Use The Service may not be resold, sublicensed, or otherwise exploited for unauthorized commercial purposes. Institutions are permitted to use the platform strictly for their internal academic, administrative, and operational needs.

6.5 Enforcement We reserve the right to investigate violations of this Acceptable Use Policy and take appropriate actions, which may include suspension or termination of accounts, removal of data, or reporting to relevant authorities where required by law.

7. Data Ownership & Intellectual Property

7.1 Ownership of Institutional Data: All data uploaded to Inschool by institutions, including student records, grades, attendance, faculty information, and financial records, remains the sole property of the institution. Inschool acts only as a custodian and processor of such data, with no claim of ownership.

7.2 Ownership of Platform and Software: The Inschool platform, including its source code, features, designs, trademarks, and branding, is the exclusive property of Inschool. No ownership rights are transferred to institutions or users under this Agreement.

7.3 License to Use: Institutions and authorized users are granted a limited, non-exclusive, non-transferable license to access and use the Inschool platform solely for internal educational and administrative purposes. This license does not permit resale, sublicensing, or unauthorized sharing of the platform.

7.4 User-Generated Content: Content uploaded by users, such as assignments, course materials, announcements, or faculty resources, remains the intellectual property of the respective user or institution. By uploading such content, the institution or user grants Inschool a license to store, display, and process the content only as necessary to provide the services.

7.5 Restrictions on Use: Institutions and users shall not copy, modify, reverse-engineer, decompile, or create derivative works based on the Inschool platform. Removal or alteration of any copyright notices, watermarks, or proprietary labels is strictly prohibited.

7.6 Aggregated and Anonymized Data: Inschool may collect and use aggregated or anonymized data derived from institutional use of the platform for analytical, research, and product improvement purposes. Such data will not identify any institution, student, or individual, and ownership of these anonymized insights rests with Inschool.

7.7 Intellectual Property Infringement: Institutions and users are responsible for ensuring that any materials uploaded to Inschool do not infringe the intellectual property rights of third parties. Inschool disclaims all liability for violations resulting from user or institutional content.

7.8 Feedback and Suggestions: Any feedback, ideas, or feature suggestions provided by institutions or users may be freely used by Inschool to improve its products and services, without any obligation to provide compensation or credit.

7.9 Third-Party Materials: Where Inschool integrates third-party services or software, such as payment gateways, cloud infrastructure, or APIs, all rights in those services remain with the respective providers. Institutions’ use of such third-party materials may be subject to additional terms.

7.10 Survival After Termination: Upon termination of an institution’s subscription or account, ownership of institutional data remains with the institution. Institutions will have the ability to export their raw data prior to termination. Inschool retains ownership of its platform, intellectual property, and any anonymized data generated during use of the services.

8. Data Privacy & Protection

8.1 Commitment to Privacy: Inschool is committed to protecting the privacy of all institutions, staff, students, and parents who use the platform. We recognize that personal and academic data are sensitive and must be handled with the highest level of care, security, and confidentiality.

8.2 Collection of Data: Inschool collects only the data necessary to provide and improve the Service. This may include institutional information, staff and student records, academic performance data, payment-related details, and usage information. By using the platform, users acknowledge and consent to this data collection as outlined in our Privacy Policy.

8.3 Use of Data: All collected data is used strictly for the purposes of operating, maintaining, and enhancing the Service. This includes managing academic processes, facilitating secure payments, generating reports, and improving the user experience. Inschool will not sell, rent, or trade user data to third parties under any circumstances.

8.4 Data Storage and Security: Inschool employs industry-standard security measures to safeguard all data stored on its systems. This includes encryption, access controls, secure servers, and routine monitoring to prevent unauthorized access, loss, misuse, or alteration of information. Users are also responsible for maintaining the confidentiality of their login credentials.

8.5 Data Sharing with Third Parties: In limited circumstances, Inschool may share data with trusted third-party service providers strictly for purposes such as payment processing, cloud hosting, or compliance with legal obligations. Any such sharing will be governed by data protection agreements to ensure user information remains secure and confidential.

8.6 User Rights: Users have the right to access, review, update, or request the deletion of their personal data, subject to applicable legal or academic obligations. Institutions, staff, and students may contact Inschool’s support team to exercise these rights. Requests will be handled promptly in accordance with relevant data protection laws.

8.7 Compliance with Laws: Inschool complies with all applicable data protection and privacy regulations in the jurisdictions where it operates. This includes, where relevant, compliance with international frameworks such as the General Data Protection Regulation (GDPR) or equivalent local laws governing the collection, use, and protection of personal data.

9. Third-Party Integrations

9.1 Use of Third-Party Services The Service may offer integrations with third-party applications, platforms, and services that are intended to enhance or extend functionality. By enabling or using these integrations, you acknowledge that the use of such third-party services is subject to their own terms and conditions, privacy policies, and practices, over which we have no control.

9.2 Responsibility for Data Sharing When you choose to connect the Service with a third-party provider, certain data may be shared to facilitate the integration. You are responsible for reviewing the permissions and data usage practices of any third-party service before enabling the integration. We are not responsible for any misuse of data by third-party providers once data is transmitted outside of our system.

9.3 Availability and Continuity We do not guarantee the availability, stability, or continued compatibility of any third-party integration. Integrations may be modified, suspended, or discontinued without prior notice if required by the third-party provider, legal obligations, or platform improvements.

9.4 Liability We are not liable for any damages, losses, or issues arising from your use of third-party services or integrations. Any dispute, malfunction, or concern related to a third-party integration must be addressed directly with the third-party provider.

10. Service Availability & Support

10.1 Service Availability: We strive to provide continuous, reliable access to the Service. However, the Service may occasionally be unavailable due to scheduled maintenance, updates, system improvements, or unforeseen technical issues beyond our control. While we will take reasonable steps to minimize downtime, we do not guarantee uninterrupted or error-free availability of the Service.

10.2 Scheduled Maintenance: From time to time, we may perform maintenance or system upgrades that could temporarily affect access to the Service. Wherever practicable, we will provide prior notice of scheduled maintenance and aim to conduct such activities during off-peak hours to minimize disruption.

10.3 Support Services We provide standard support to institutions and users as part of the Service. Support may include assistance with technical issues, troubleshooting, and general usage guidance. Institutions subscribed to premium plans or service tiers may be entitled to enhanced levels of support, which will be detailed in their subscription terms.

10.4 Limitations of Support Support is limited to issues directly related to the Service. We are not responsible for providing assistance with third-party services, devices, or network configurations not directly controlled by us. Response times may vary depending on the nature of the request, system load, and support plan subscribed to.

11. Suspension & Termination

11.1 Right to Suspend or Terminate: We reserve the right to suspend or terminate access to the Service at our discretion if we believe that a user, institution, or account has violated these Terms, engaged in unlawful activity, compromised the security of the platform, or otherwise acted in a manner that harms the integrity of the Service.

11.2 Suspension of Accounts: In cases where issues may be temporary or resolvable, we may choose to suspend access to certain features or accounts rather than permanently terminate them. During suspension, users will be notified of the reason and may be required to take corrective action before reinstatement.

11.3 Termination by User: Institutions and users may terminate their use of the Service at any time by discontinuing use and, where applicable, canceling their subscription. Upon termination, certain data may be retained as necessary for legal, regulatory, or academic compliance, but otherwise access to the platform will cease.

11.4 Effect of Termination: Termination or suspension does not relieve the user or institution of any outstanding payment obligations incurred prior to the effective date of termination. In addition, termination results in the loss of access to platform features, data, and services associated with the account. We recommend institutions export any needed data before cancellation or termination.

11.5 Survival of Provisions: Certain provisions of these Terms, including but not limited to those concerning intellectual property, payment obligations, confidentiality, disclaimers, limitations of liability, and dispute resolution, shall survive suspension or termination of the Service.

12. Disclaimers & Limitation of Liability

12.1 General Disclaimer The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. We make no representations or guarantees regarding the availability, reliability, accuracy, or suitability of the Service for any purpose. Use of the Service is at your own risk.

12.2 No Guarantee of Results We do not guarantee that the use of the Service will lead to specific academic, administrative, financial, or employment outcomes. Institutions and users are solely responsible for how they use the Service and the results derived from it.

12.3 Limitation of Liability To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or in connection with the use of the Service, even if we have been advised of the possibility of such damages.

12.4 Liability Cap Our total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid, if any, by the user or institution to us in the twelve (12) months preceding the event giving rise to the claim.

12.5 Third-Party Services We are not responsible or liable for the availability, content, functionality, or security of any third-party services, integrations, or applications accessed through the Service. Use of such third-party services is at the sole discretion and risk of the institution or user.

13. Indemnification

13.1 User Indemnification: You agree to indemnify, defend, and hold harmless Inschool, its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to: (i) Your violation of these Terms; (ii) Your misuse of the Service; (iii) Your violation of any applicable laws, regulations, or third-party rights, including intellectual property rights; or (iv) Any content or data you submit, upload, or otherwise make available through the Service.

13.2 Institutional Indemnification: Institutions using the Service agree to indemnify and hold harmless Inschool and its affiliates against claims or disputes brought by students, staff, or third parties that arise out of the institution’s use of the Service, including mismanagement of data, failure to comply with regulatory obligations, or breach of these Terms.

13.3 Inschool’s Right to Defense: Inschool reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification under this Section. In such cases, you agree to cooperate fully with our defense strategy, including providing necessary documents, evidence, and support.

14. Modifications to Terms & Service

14.1 Updates to the Terms: Inschool reserves the right to modify, amend, or update these Terms at any time. Any material changes will be communicated to you through the Service, via email, or other reasonable means. Continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

14.2 Changes to the Service: We may introduce new features, enhance existing ones, or discontinue parts of the Service as we evolve to meet user needs and industry standards. While we aim to provide prior notice where feasible, certain updates may occur without notice to ensure security, compliance, or service improvements.

14.3 User Responsibility: It is your responsibility to review these Terms periodically to stay informed of any changes. If you do not agree with the updated Terms or modifications to the Service, you must discontinue use immediately.

15. Governing Law & Dispute Resolution

15.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

15.2 Dispute Resolution Process: In the event of any dispute, claim, or controversy arising out of or in connection with these Terms or the use of the Service, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations.

15.3 Arbitration: If a resolution cannot be reached through negotiation within thirty (30) days, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The arbitration shall be conducted in Abuja, Nigeria, in the English language, and the decision of the arbitrator(s) shall be final and binding on both parties.

15.4 Jurisdiction for Legal Proceedings: Subject to the arbitration clause, the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction over any disputes that may arise in connection with the Service, where arbitration is not applicable or enforceable.

17. Miscellaneous

17.1 Entire Agreement: These Terms constitute the entire agreement between us and you regarding the use of our services. They supersede all prior agreements, understandings, or communications, whether written or oral, relating to the subject matter herein.

17.2 Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

17.3 Waiver: Our failure to enforce any right or provision under these Terms shall not be considered a waiver of such right or provision. Any waiver must be in writing to be effective.

17.4 Assignment: You may not transfer or assign your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

17.5 Force Majeure: We shall not be held responsible or liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, labor disputes, power or internet failures, or other events outside our reasonable control.
